POLICIES FOR FNI EMPLOYEES AND REPRESENTATIVES
Any online communication by Financial Network, Inc. employees or representatives is subject to Financial Network, Inc.’s policies and procedures that outline acceptable conduct, as well as those policies, laws and regulations that apply to online communications. Financial Network, Inc.’s policies and procedures set forth a standard of personal responsibilities for its employees and representatives both inside and outside the workplace. All Financial Network, Inc. employees and representatives will adhere to the following requirements for the Site:

Financial Network, Inc. requires that employees and other company representatives disclose their employment or other association with Financial Network, Inc. in all communications with customers, the media or other Financial Network, Inc. stakeholders when speaking on behalf of Financial Network, Inc.

Managers, officers and directors of Financial Network, Inc. must obtain approval from Financial Network, Inc.’s legal department before making a post or entry on any FNI Website or before making a post or entry on any Non-FNI Website that is related to Financial Network, Inc. (including any Financial Network, Inc. policies, procedures, products or services, or communications related to any Financial Network, Inc. stakeholders, clients, employees or company representatives.
3. If you find or make mistakes or inaccurate or incomplete information on any FNI Website, report them to your supervisor.
4. Posts on FNI Websites may generate media coverage. If a member of the media contacts you about a FNI Website posting or requests Financial Network, Inc. information of any kind, contact your supervisor and the legal department immediately.
5. Do not disparage Financial Network, Inc. or its competitors.
GOVERNING LAW AND OTHER MISCELLANEOUS TERMS
The validity and effect of the Terms of Use shall be governed by and construed and enforced in accordance with the laws of the State of Missouri, USA, without regard to its conflicts of laws principles. In the event litigation is instituted hereunder, each user consents to the exclusive jurisdiction of any federal or state court situated in or serving St. Louis County, MO, as FNI selects in its sole discretion. The prevailing party shall be entitled to recover its attorneys’ fees and court costs, together with any other relief awarded by a court of competent jurisdiction. ANY SUIT, ACTION OR PROCEEDING CONCERNING THE SITE, ITS USE, THESE TERMS OF USE, OR CONCERNING ANY OTHER POLICY OR PROCEDURE OF FNI, MUST BE BROUGHT IN A COURT OF COMPETENT JURISDICTION IN MISSOURI, AND YOU HEREBY IRREVOCABLY CONSENT TO THE JURISDICTION OF SUCH COURT (AND OF THE APPROPRIATE APPELLATE COURTS THEREFROM) IN ANY SUCH SUIT, ACTION OR PROCEEDING; AND YOU IRREVOCABLY WAIVE, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY OBJECTION WHICH YOU MAY NOW OR HEREAFTER HAVE TO THE LAYING OF THE VENUE OF ANY SUCH SUIT, ACTION OR PROCEEDING IN ANY SUCH COURT OR THAT ANY SUCH SUIT, ACTION OR PROCEEDING WHICH IS BROUGHT IN ANY SUCH COURT HAS BEEN BROUGHT IN AN INCONVENIENT FORUM.
